End-User License Agreement

1. License Grant

GaugeGrid LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Install and use GaugeGrid on your personal or company-owned devices
• Access any features associated with your subscription plan
• Use GaugeGrid for your own personal, non-commercial use or for the internal business operations of your organization, as applicable to your subscription plan, and subject to compliance with this Agreement

This license is conditioned upon your compliance with this Agreement and does not convey any ownership interest in the App or any copy thereof.

2. Ownership

GaugeGrid is licensed, not sold. All right, title, and interest in and to the App — including but not limited to source code, algorithms, database structures, user interface design, sync protocols, trademarks, and documentation — are and shall remain the exclusive property of GaugeGrid LLC and its licensors. No ownership rights are conveyed to you under this Agreement.

If you provide suggestions, feature requests, or other feedback regarding the App, you grant GaugeGrid LLC a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable right to use, reproduce, modify, and incorporate such feedback without obligation or compensation to you.

3. Restrictions

3.1 Prohibited Technical Acts

Except to the extent such restriction is expressly prohibited by applicable law, you may not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure of the App
• Attempt to discover or extract algorithms, know-how, data models, or business logic embedded in the App
• Modify, translate, adapt, or create derivative works based on the App
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices appearing in or on the App

3.2 Local Data and Internal Component Protection

The App stores data locally on your device to enable offline functionality. You may not access, inspect, copy, or otherwise use any local database structures, synchronization protocols, data models, embedded logic, configuration files, or other internal components of the App except through the App's authorized user interface and intended functionality. This restriction applies whether or not the device is connected to the internet.

3.3 Anti-Circumvention

You may not avoid, bypass, remove, deactivate, impair, or otherwise circumvent:

• Security-related features of the App, including encryption, obfuscation, authentication, or access controls
• Features that enforce limitations on the use of the App, including restrictions based on your subscription or account status
• Features that prevent or restrict unauthorized use, copying, or access to content within the App

3.4 Commercial Exploitation

You may not:

• Sell, rent, lease, sublicense, or distribute the App or any of its components to any third party
• Use the App, its outputs, or knowledge gained from using the App to develop, enhance, or inform a competing product or service
• Scrape, harvest, or systematically extract data or functionality from the App
• Perform benchmark testing or competitive analysis of the App without GaugeGrid LLC's prior written consent
• Use the App in a manner that infringes on any applicable laws or third-party rights

3.5 No Redistribution

You may not copy, redistribute, publish, or make available the App or any portion thereof — whether in original, modified, or derivative form — to any third party by any means, including but not limited to app stores, file-sharing services, or code repositories.

3.6 Trade Secrets

Certain elements of the App — including but not limited to analytics computations, synchronization logic, and database schema design — constitute confidential and proprietary trade secrets of GaugeGrid LLC. Unauthorized access to, disclosure of, or use of these elements may subject you to legal action under applicable trade secret laws, in addition to any other remedies available under this Agreement.

3.7 Confidential Information

Non-public information regarding the App's features, functionality, performance, internal architecture, pricing structures, and unreleased capabilities constitutes confidential information of GaugeGrid LLC. You agree not to disclose such information to third parties without our prior written consent.

4. Subscriptions & Payments

GaugeGrid offers free and paid subscription plans. By purchasing a subscription:

• You agree to pay all applicable fees
• You authorize us (or our third-party payment processor) to charge your payment method
• Subscriptions renew automatically unless canceled in accordance with platform policies (e.g., Apple, Google Play)
• All fees are non-refundable except as required by law or app store policy

5. Data Ownership & Export

You retain full ownership of any data you enter into GaugeGrid.

• We do not sell your data to third parties
• You may export your data at any time using our provided export tools
• Cloud storage and sync are optional features available with paid plans

6. Privacy

Use of the App is also governed by our Privacy Policy, which explains how your data is collected, used, and stored.

7. Termination

This license is effective until terminated. GaugeGrid LLC may terminate or suspend your license immediately upon notice if you breach any term of this Agreement. Upon termination:

• You must cease all use of the App and delete all copies from your devices
• Your access to cloud features and synchronized data will be revoked
• Sections 2, 3, 6, 8, 9, and 10 of this Agreement shall survive termination

Termination of your license does not limit GaugeGrid LLC's right to pursue any other remedies available at law or in equity.

8. Disclaimers

GaugeGrid is provided "as is" without warranties of any kind. We do not guarantee:

• That the App will function uninterrupted or error-free
• That the App will meet your specific requirements
• That data loss will not occur (though reasonable measures are taken to prevent it)

9. Limitation of Liability

To the maximum extent permitted by law, GaugeGrid LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, profits, or goodwill; equipment damage or downtime; or legal claims arising from use or misuse of the App.

10. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of North Carolina.

11. Modifications

We reserve the right to update or modify this Agreement at any time. We will notify you of changes via in-app notification or website update. Continued use of the App constitutes acceptance of the revised Agreement.
